Thursday, the Henderson County Board of Commissioners unanimously voted to finalize a new Management Agreement between Pardee Hospital and UNC Health Care System (UNCHCS). The Pardee Board of Directors also voted to similarly approve that same agreement strengthening the partnership between the two health care organizations. The finalization of these agreements comes after an April 25, 2013 announcement setting the foundation for a revised Management Agreement between Pardee, UNCHCS and Henderson County.
The finalized Management Agreement replaces the previous agreement between Pardee and UNCHCS by extending the relationship from 10 to 25 years. UNCHCS now has greater involvement with clinical, business, and financial operations. UNCHCS is able to invest in Pardee facilities and operations and potential expansion of clinical facilities at Pardee. The duration of Pardee Hospital’s lease with the county for both the hospital buildings and land has been extended for 25 years.

“Considering the changes we face with the affordable care act, this couldn’t be more timely,” said Henderson County Board of Commissioners Chairman Charlie Messer. “This cooperative arrangement ensures that Pardee is best prepared to be a sustainable health care provider for our communities.”
The final articles revise the structure of the Pardee Hospital Board of Directors. The current board is compromised of 11 members. The new structure expands the board to a total of 15 members with appointments being made by the Henderson County Board of Commissioners and by UNC Health Care System.
In the revised articles the Henderson County Board of Commissioners have three appointments. Three are nominated by UNCHCS with Henderson County Board of Commissioner appointment. Five are nominated by the Pardee Board of Directors for approval by UNCHCS and appointment by Henderson County Board of Commissioners. Four members are ex officio: the President of UNC Hospitals or designee, a County Commissioner, the CEO of Pardee and the Chief of Staff of Pardee.
